Terms of Service

These Terms of Service ("Terms") govern your access to and use of AllStateDMVs, a software platform operated by TUNDRAA LLC ("Company," "we," "us"), available at https://allstatedmvs.com (the "Service"). By creating an account or using the Service, you ("Dealer," "you") agree to these Terms.

1. The Service

AllStateDMVs is a Software-as-a-Service platform that helps automotive dealers:

• Generate quotes for out-of-state tag, title, and registration work
• Process Finance & Insurance workflows including lender submissions, compliance checklists, F&I product menus, and trade-in payoffs
• Collect universal credit applications from customers
• Submit completed deals to Company for back-office processing where applicable

2. Account & Eligibility

You must be a licensed motor vehicle dealer in good standing to use the Service. You represent that:

• You have legal authority to bind the dealership entity you register
• You will provide accurate dealer information
• You will not use the Service for vehicles you are not authorized to sell

You are responsible for keeping login credentials confidential and for activity under your account, including all sub-user activity (sales managers, F&I managers, tag & title staff).

3. Subscription Fees

Your subscription tier and price are specified in your account or in a separate dealer agreement. Unless otherwise agreed:

• Fees are billed monthly in advance
• Plans may include a usage quota (number of quotes/deals per month)
• Overages or premium features may incur additional fees

We may change fees on 30 days' written notice. Continued use after the notice period constitutes acceptance.

4. Tax and Calculation Disclaimer

THE SERVICE COMPUTES SALES TAX, REGISTRATION FEES, AND OTHER GOVERNMENT CHARGES BASED ON PUBLISHED STATE RULES AS OF THE QUOTE DATE. WHILE WE STRIVE FOR ACCURACY, STATE RULES CHANGE FREQUENTLY AND THE SERVICE IS PROVIDED "AS IS."

• You are solely responsible for confirming the final tax and fee amounts collected from your customer.
• You are solely responsible for ensuring the documents you submit to a state DMV are correct and complete.
• Quotes generated by the Service are estimates. Final amounts are determined by the relevant state DMV.

5. Customer Credit Applications

When a customer fills out a credit application via a Customer Link generated by the Service:

• The customer's information becomes accessible to the dealer-assigned F&I manager and dealer owner
• You agree to handle the information in accordance with the Gramm-Leach-Bliley Act (GLBA), the FTC Safeguards Rule, and applicable state privacy laws
• You agree not to share customer information with parties other than lenders the customer has authorized you to contact
• You agree to maintain customer consent records

6. Data Ownership

• Dealer data (quotes, deals, customer records you generate) is your data. You retain ownership. We have a license to host, process, and back it up to provide the Service.
• Platform data (the Service itself, our codebase, templates, F&I product taxability data, bank directory, county tax rates) is our intellectual property.
• We may use aggregated, anonymized data for product improvement.

7. Acceptable Use

You will not:

• Use the Service to commit fraud or misrepresent fees to customers
• Submit credit applications without the customer's consent
• Reverse engineer or attempt to extract source code
• Resell access to the Service or grant access to non-dealership personnel
• Use the Service for activities prohibited by federal or state law

8. Service Availability

We target 99.5% monthly uptime but do not guarantee continuous availability. Scheduled maintenance will be announced in advance when possible.

We are not liable for downtime caused by:

• Force majeure (natural disasters, network outages outside our control)
• Failures of third-party services (Google Cloud, Stripe, Sendgrid)
• Maintenance windows
• Your own internet connection or local equipment issues

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES
• OUR TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM
• WE ARE NOT LIABLE FOR LOSSES ARISING FROM YOUR INCORRECT USE OF THE SERVICE, INCORRECT DATA YOU ENTERED, OR YOUR FAILURE TO VERIFY OUR CALCULATIONS

10. Indemnification

You agree to indemnify, defend, and hold harmless TUNDRAA LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your handling of customer personal information
• Any deal you process through the Service that becomes the subject of a customer dispute or regulatory action

11. Term and Termination

These Terms remain in effect while you have an active account.

You may cancel at any time through Settings. Cancellation takes effect at the end of the current billing period; we do not refund partial months.

We may suspend or terminate your access for:

• Non-payment after 15 days' notice
• Material breach of these Terms (immediate)
• Bankruptcy or insolvency (immediate)

Upon termination, we will provide an export of your data for 30 days, after which it may be deleted.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts of Fairfax County, Virginia.

13. Changes

We may update these Terms periodically. We will notify you at the email on file at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.

14. Entire Agreement

These Terms, together with the Privacy Policy and any signed Dealer Agreement, constitute the entire agreement between you and TUNDRAA LLC regarding the Service. If any provision is held unenforceable, the rest remains in effect.
